1. General Provisions
1.1.These General Terms and Conditions (hereinafter: the GTC) govern the terms and conditions for the use of the digital services provided by FindVault Limited Liability Company (short name: FindVault Kft.; registered office: 2112 Veresegyház, Fészekrakó Street 8.; company registration number: 13-09-242942; registering authority: Company Court of the Budapest Surroundings Regional Court; tax number: 32904350-1-13; EU VAT number: HU32904350; electronic contact: info@findvault.eu), acting as service provider (hereinafter: the Service Provider).
1.2.The scope of these GTC extends to all natural persons and legal entities, as well as organisations without legal personality (hereinafter: the User) who access, use, or order the use of the Service Provider’s system.
1.3.The Service Provider reserves the right to unilaterally amend these GTC within the framework of applicable law. Amendments shall enter into force on the date of their publication.
2. Definitions
FindVault System:
The cloud-based, modular, and configurable digital data collection, management, and analysis platform developed and operated by the Service Provider.
Service:
All software, operational, support, analytical, and ancillary services related to the FindVault System.
Module:
An independent or integrated functional unit of the FindVault System.
User Account:
An access right with a unique identifier enabling access to the FindVault System.
3. Subject Matter and Technological Nature of the Service
3.1.The Service Provider provides the FindVault System under a Software as a Service (SaaS) model.
3.2.The FindVault System is a modular, configurable digital platform suitable for the collection, management, analysis, and visualisation of structured and unstructured data.
3.3.The Service may be used, in particular—but not exclusively—in the fields of archaeology, cultural heritage protection, museums, environmental protection, area monitoring, infrastructure surveying, research, and other data-intensive domains.
3.4.The Service does not qualify as a consulting, official, or expert service.
3.5.In providing the Service, the Service Provider processes data in compliance with the data protection legislation of the European Union (GDPR). In the case of Institutional Users, the Service Provider ensures the possibility of data processing within the European Union where required by law, supervisory regulations, or individual agreement.
4. Registration, Access, and Roles
4.1.Use of the Service requires the creation of a User Account, to which the Service Provider may assign different levels of access rights (roles).
4.2.The following roles may be established in the FindVault System, in particular but not exclusively:
institutional administrator,
project administrator,
professional user,
field data collection user,
user with view-only access.
4.3.The scope of rights associated with each role is defined by the Service Provider’s documentation or by individual agreement.
4.4.The User is obliged to ensure that access rights are available only to duly authorised persons.
5. Fees and Payment Terms
5.1.The Service is subject to a fee unless the Service Provider provides otherwise.
5.2.Subscription plans available to natural person Users, including fees and conditions, are published on the Service Provider’s website.
5.3.In the case of Institutional Users, fees for the Service are always subject to individual agreement.
5.4.The Service Provider is entitled to modify fees, of which the User shall be informed in advance.
6. Data Processing, Data Economy, and Data Responsibility
6.1.During the use of the FindVault System, natural person Users performing field data collection may record data, documentation, and images in the system. At the time of recording, such data shall qualify as content uploaded by the natural person User.
6.2.The User acknowledges that the purpose of the FindVault System is to support the institutional processing and long-term preservation of field-recorded data. Accordingly, the Institutional User responsible for the given collection area is entitled to institutional processing, registration, and collection management of the related object and artefact data.
6.3.Institutional registration and collection management assigned by the Institutional User to artefacts and related data originating from its own collection area do not affect the operation of the Service Provider’s system and shall thereafter be governed by the internal regulations and statutory obligations of the respective Institution.
6.4.The Service Provider operates the Service as a cloud-based, multi-tenant system, ensuring institutional and project-based logical data segregation.
6.5.The Service Provider is entitled to use anonymised and aggregated data generated during system operation that do not contain personal data for statistical, research and development, quality assurance, and service improvement purposes.
6.6.During the training and fine-tuning of artificial intelligence-based modules, the Service Provider uses exclusively anonymised, aggregated, or synthetic data, in such a way that the data of individual Users, institutions, or projects cannot be re-identified.
6.7.The User acknowledges that automated analyses, predictions, and recommendations applied within the Service do not result in automated decision-making within the meaning of Article 22 of the GDPR.
7. Limitation of Liability
7.1.The Service Provider provides the Service at the highest available professional and technological standard; however, it assumes no liability for the completeness, accuracy, lawfulness, or timeliness of data uploaded by the User.
7.2.Analyses, visualisations, artificial intelligence-based recommendations, and predictions generated by the FindVault System are for informational purposes only and do not constitute expert, official, or legal decisions, nor do they replace human professional judgment.
7.3.All risks related to field data collection, on-site measurements, and data acquisition are borne by the User, including damages arising from the use of equipment, environmental conditions, or the conduct of third parties.
7.4.The Service Provider shall not be liable for indirect, incidental, or consequential damages arising from the use of the Service, including, in particular, loss of profit, data loss, reputational damage, or business interruption.
7.5.The Service Provider’s total aggregate liability for damages, on any legal basis, shall not exceed the net service fees actually paid by the respective User for the Service during the twelve (12) months preceding the damage event.
8. Intellectual Property and Licence
8.1.The FindVault System, including its architecture, source code, data models, algorithms, artificial intelligence solutions, visualisation elements, and documentation, constitutes the exclusive intellectual property of the Service Provider.
8.2.For the duration of the Service, the Service Provider grants the User a non-exclusive, non-transferable, time-limited licence to use the FindVault System for its intended purpose.
8.3.Unless otherwise provided by law, data, documentation, reports, analyses, and outputs created by the User or Institutional User during the use of the system shall remain the property of the User or the respective Institutional User.
8.4.The Service Provider is entitled to technically process, store, and display User-generated content to the extent necessary for the operation, development, and provision of the Service.
8.5.Without the User’s explicit consent, the Service Provider is not entitled to independently commercially exploit content created by the User or Institutional User.
9. Complaints and Dispute Resolution
9.1.Users may submit complaints related to the Service primarily by electronic means via the Service Provider’s electronic contact details.
9.2.The Parties shall endeavour to resolve disputes related to the provision of the Service amicably through negotiations.
9.3.In disputes arising from consumer relationships between a natural person User and the Service Provider, the User is entitled to обратиться to the conciliation bodies provided for by law.
9.4.In the case of Institutional Users, disputes with the Service Provider shall primarily be resolved through civil legal proceedings.
9.5.If amicable settlement fails, the Parties stipulate the exclusive jurisdiction of the Budapest Surroundings Regional Court or, depending on competence, the District Court of Gödöllő.
10. Suspension and Termination of the Service
10.1.The Service Provider is entitled to temporarily suspend the Service or certain modules thereof with prior notice for maintenance, development, or security reasons.
10.2.In extraordinary events beyond the Service Provider’s control (in particular force majeure, official measures, cyberattacks), the Service may be suspended without prior notice.
10.3.The Service Provider is entitled to suspend or terminate the User’s access if the User materially breaches these GTC, in particular in cases of unlawful data processing, abusive use, or failure to fulfil payment obligations.
10.4.Upon termination of the Service, the Service Provider shall ensure, in accordance with applicable law, that the User has the opportunity to download the data uploaded by the User.
11. Amendment of the GTC
11.1.The Service Provider is entitled to unilaterally amend these GTC, in particular in the event of changes in legislation, service development, or the business or technological environment.
11.2.The Service Provider shall inform the User of amendments by publication on the FindVault website or by electronic notification.
12. Miscellaneous Provisions
12.1.These GTC shall be governed by Hungarian law, in particular Act V of 2013 on the Civil Code, Act CXII of 2011 on the Right to Informational Self-Determination and Freedom of Information, and Act LXXVI of 1999 on Copyright.
